Raced my buddies 2001 540i (has M sport package), he thought he was going to dust me and I thought the same.. But when we raced I was dead even with him on rolling starts no one could pull away we were dead even(did a bunch of 10 mph to 20 mph starts up to 80 and 100 mph). From a dig we got 1 race and I beat him by 1-2 car lengths because he left traction control on and it slowed him down.

So the little 328i is quicker than most give it credit. My buddy said his 540i was rated at 0-60 in 6.2 seconds (He has an auto).

From what I understood driving a 328i loaner, albeit an auto, that car is pretty fast. I think it's faster than my car (in auto), and from tests in car magazines it seems to be about 0.2 sec slower than 330i (both stick). So it's no slouch.

I guess it's an appropriate upgrade alongside the top level 335i

A stick 540 should do 0-60 in well under 6 seconds. I would think the 540 would win. If I remember correctly the 540 has 290 hp and 311 lbs of torque. Although the 540 is heavier the hp and torque difference is enormous.

Cars are seriously getting too fast! I remember when the 540i was one of the most respected cars in the BMW lineup, now it gets beaten by the most affordable BMW!

Id say his 540i is suffering from the common E39 air mass sensor problem
